Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TechJini Digital Services Private Limited("Ziffysign," "we," "us," or "our") and govern your access to and use of the Ziffysign website, applications, and electronic signature services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In such cases, "you" and "your" refer to that organization.

You may use the Service only if:

• You are at least eighteen (18) years old;
• You have the legal capacity to enter into a binding agreement;
• You are using the Service primarily for business purposes;
• You register using a valid business email address; and
• Your use of the Service complies with applicable laws and regulations.

You may not use the Service if you are prohibited from doing so under applicable law.

Ziffysign provides cloud-based electronic signature and document workflow services, including:

• User registration and account management;
• Document upload, storage, and organization;
• Document preparation and signature field placement;
• Electronic signature workflows;
• Team management and collaboration features;
• Document activity tracking and audit trails; and
• Related features that we may introduce from time to time.

We may modify, enhance, discontinue, or replace any feature of the Service at our discretion.

We do not currently provide service level commitments or uptime guarantees unless expressly agreed in writing.

You are responsible for:

• Maintaining the confidentiality of your account credentials;
• Restricting access to your account;
• Ensuring that all account information remains accurate and up to date; and
• All activities occurring under your account.

You must promptly notify us of any unauthorized access to or use of your account.

We may permit authentication through third-party identity providers, including Google Workspace and Microsoft 365. Your use of such services is subject to the terms and privacy policies of those providers.

"Customer Content" means all documents, data, files, information, signatures, and materials submitted to the Service by you or your authorized users.

You retain all ownership rights in your Customer Content.

You grant Ziffysign a worldwide, non-exclusive, limited license to host, store, process, transmit, display, and otherwise use Customer Content solely as necessary to:

• Provide and maintain the Service;
• Prevent fraud, abuse, and security threats;
• Comply with legal obligations; and
• Enforce these Terms.

You represent and warrant that you have all rights necessary to submit Customer Content, that it does not infringe any third-party rights, and that your use of the Service complies with applicable laws.

Ziffysign facilitates electronic signatures but is not a law firm and does not provide legal advice.

You are solely responsible for:

• Determining whether electronic signatures are appropriate for your use case;
• Ensuring compliance with applicable laws and regulations;
• Obtaining all required consents from signers to conduct business electronically;
• Verifying the identity and authority of signers;
• Determining document retention requirements; and
• Assessing the enforceability of electronically signed documents.

Ziffysign is designed to support electronic signature processes under the U.S. Electronic Signatures in Global and National Commerce Act ("ESIGN Act") and the Uniform Electronic Transactions Act ("UETA").

However, we do not warrant that any electronic signature, record, workflow, or process will be legally valid, enforceable, or suitable for your specific use case or jurisdiction.

You must not use the Service to:

• Violate any applicable law or regulation;
• Upload, transmit, or store unlawful, infringing, fraudulent, defamatory, or harmful content;
• Distribute malware, viruses, or malicious code;
• Send unsolicited communications or spam;
• Interfere with the security or operation of the Service;
• Attempt to gain unauthorized access to any system or account;
• Reverse engineer, decompile, or attempt to discover the source code of the Service;
• Circumvent subscription restrictions or fair usage limits;
• Use automated means to access the Service in a manner that imposes an unreasonable burden on our infrastructure;
• Impersonate another person or entity; or
• Use the Service in a manner that infringes the rights of others.

We may suspend or terminate accounts that violate this section.

Our collection and use of personal information are governed by our Privacy Policy.

By using the Service, you acknowledge that:

• Customer data may be hosted and processed in the United States;
• We may engage third-party subprocessors to provide the Service; and
• Electronic transmission and storage of information cannot be guaranteed to be completely secure.

We implement reasonable administrative, technical, and organizational measures designed to protect Customer Content.

You may export your documents and Customer Content during your subscription term, subject to technical limitations.

Following account termination, we may retain Customer Content only for the period required by applicable law, after which it may be permanently deleted.

You are responsible for maintaining independent backups of your Customer Content.

The Service, including all software, interfaces, designs, trademarks, logos, and related intellectual property, is owned by Ziffysign or its licensors. Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You may provide suggestions, comments, or feedback regarding the Service. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation.

We may collect, generate, and use aggregated, anonymized, or de-identified information derived from use of the Service for analytics, security, benchmarking, and product improvement purposes. Such information will not identify you, your organization, or any individual signer.

We may introduce artificial intelligence or machine learning features in the future.

We will not use Customer Content to provide AI-powered features unless you explicitly opt in or otherwise provide your express consent.

AI-generated outputs may contain inaccuracies and should not be relied upon for legal, financial, employment, healthcare, insurance, credit, or other high-risk decisions. You remain solely responsible for reviewing and validating all AI-generated outputs.

The Service may integrate with or rely upon third-party services, including identity providers, payment processors, hosting providers, and communication services.

We are not responsible for third-party services and disclaim all liability arising from your use of them. Your use of third-party services may be subject to separate terms and conditions.

Each party agrees to protect the other party's non-public confidential information using reasonable care and to use such information solely for purposes of performing under these Terms.

Confidential information does not include information that is or becomes publicly available, was lawfully known prior to disclosure, is independently developed without reference to the confidential information, or is lawfully obtained from a third party.

A receiving party may disclose confidential information where required by law.

You agree to defend, indemnify, and hold harmless Ziffysign, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to:

• Your use of the Service;
• Your Customer Content;
• Your violation of these Terms;
• Your violation of applicable laws; or
• Any dispute between you and your signers or other third parties.

These Terms remain in effect until terminated. You may terminate your subscription at any time through your account settings or by contacting us.

We may suspend or terminate your access immediately if:

• You violate these Terms;
• Payment is overdue;
• We are required to do so by law; or
• Your use of the Service creates security, legal, or operational risks.

Upon termination, your right to use the Service ends immediately, outstanding payment obligations survive, and we may delete Customer Content in accordance with our retention practices.

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the updated Terms.

These Terms are governed by the laws of India, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be finally resolved through binding arbitration in Bengaluru, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted in English by a single arbitrator appointed in accordance with applicable law.

YOU AND ZIFFYSIGN WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

You may not assign or transfer these Terms without our prior written consent.

We may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.

You are responsible for complying with all applicable laws relating to your use of the Service. You may not use the Service in violation of applicable export control or sanctions laws. We may restrict access to the Service where required by applicable law.

Legal notices relating to these Terms must be sent to support@ziffysign.com.

We may provide notices to you by email, through the Service, or by other reasonable means.

These Terms, together with our Privacy Policy and any applicable order forms or subscription details, constitute the entire agreement between you and Ziffysign regarding the Service.

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
